Jo, the managing director of Wheelcorp Pty Ltd, is negotiating on behalf of Wheelcorp, for a possible sale of the business to Overtakers Ltd. Unknown to anyone else in the company, a contract is drawn up between Wheelcorp and Overtakers, which provides that Overtakers will have the exclusive right to use designs for eco-caravans which were drawn up by Jo last year in the Wheelcorp office, (but which the rest of the Wheelcorp board have said the company is not interested in using) and in return Overtakers promises, for one year, not to negotiate with any other party to buy its business. Jo takesthe company's common seal and signs as 'director' of Wheelcorp, and then signs again asmanaging director. In a separate document signed at the same time, but just between Jo and Overtakers, the latter agrees that, should it succeed in purchasing the business of Wheelcorp, in consideration of his involvement in that success Jo will be guaranteed a position as Chief Engineer of the business.
At the next board meeting, Jo lets the details of this deal slip out, but Reg says that although he is annoyed that Jo went behind his back, he and Rose will now approve the deal, as they are getting old and believe that company is a potential purchaser for their shares as part of a sale of the business. Jo, Rose and Reg then approach Overtakers to discuss purchase of their shares, and they do not inform Larry about any of this.
Larry's partner sees the others talking to Overtakers' executives in a wine bar, and laterLarry confronts Reg and Jo; they have a heated argument in which Larry accuses them of cutting him out of decision-making, and Jo replies that the company has moved on withits Green agenda and that they don't need to include him as they know his 'outdated'views and they disagree with them.
