module as a business person would. Pretend you are the BUYER of the goods in the contract. You are buying crucial
equipment for your start up sour dough bread baking company. The Seller's lawyer wrote the contract, and you suspect
it was written in the Seller's favor. Your attorney is reviewing the contract for you, but you are meeting with the lawyer
to discuss your concerns and are prepping for the meeting, so you don't waste any costly time of your $200? hour lawyer!
For your discussion post, choose 2 questions to discuss (15 PTS each):
What sections of the contract are unclear to you? Make a list of unclear sections you would want to discuss with your
lawyer and any questions you would want to ask about those specific sections. You must identify and discuss at least
3 sections in your post.
Your Seller has told you they are willing to make changes to the contract to get your purchase. Make a list of contract
revisions that you think will make the contract better for you as the Buyer. Be sure to note the sections you want to
change, so your lawyer doesn't have to waste time looking for the spot in the contract you are talking about! Feel free
to propose actual revisions for your attorney to review. You must identify a minimum of 3 changes for your post.
As the buyer, it is your responsibility to bring up what matters to YOU to protect your new business from entering a
bad contract. Are there any sections you think are missing from the contract that could better protect you? Was
there something you thought would be covered, but isn't? Prepare a summary of additional terms you would like to
add to a contract addendum - at least 3!
Ch.23 covers warranties. This Contract covers warranties in Section 4. What do you think of the warranty in your
contract? Apply what you learned in Ch.23 to the warranty in this contract by making sure you understand what you
are giving up by signing this contract. Summarize your thoughts to your lawyer, so you can confirm with them the risk
you are taking. What can you physically do to help limit your risks?
