Lindenwood DataTech provides IT support for professional businesses. Lindenwood's major clients are physicians' offices and law firms. Robert was Lindenwood's top analyst and performed most of the in-field tech support for Lindenwood. Robert developed very strong relationships with most of the in-house IT contacts of Lindenwood's clients. While working at Lindenwood Data Tech, Robert decided to open his own IT support business, knowing that he would likely be competing with Lindenwood for many of the same clients. In fact, Robert was depending on many of Lindenwood's clients to follow him to his new company. While he was still employed by Lindenwood, Robert began to plan for his new business. On his own time, he mailed a general informational brochure to businesses on a general member mailing list he obtained from the St. Charles County Chamber of Commerce. The brochure informed prospective clients of his experience and plan to start his own tech support business on November 1, 2022. Some of the brochures were received by Lindenwood's existing clients who were members of the Chamber. After leaving Lindenwood on November 1, Robert aggressively pursued the clients with whom he had built a relationship while working at Lindenwood Data Tech. Robert also convinced 2 of Lindenwood's sales employees to leave Lindenwood and come to work with his new company. Within 6 months after Robert left Lindenwood and started his own business, Lindenwood Data Tech lost 4 of its largest clients, which accounted for 57% of its revenue, to Robert. Lindenwood Data Tech filed a lawsuit against Robert alleging that he violated his duty of loyalty to Lindenwood and was unlawfully competing with Lindenwood, his former employer. Robert filed a motion to dismiss Lindenwood's lawsuit because Robert never signed a non-compete agreement, and therefore, Lindenwood had no legal basis to challenge Robert's ompeting business activity.
