1. Make up a corporation. Decide on your product and outline the steps you took to incorporate your business. Set up the organizational structure of your corporation, and describe how you financed your business.Include the Articles of Incorporation you filed, as well as your company bylaws.
2. Describe a situation at your company that implicates a constitutional issue. Draft a memo explaining how you resolved the issue.
3. Describe why your business works best as a corporation, rather than as one of the other business forms set forth in chapter 19. Be specific.
4. Draft two contracts with other corporations. One of them must be valid and enforceable.The other should be unenforceable in some major respect and create a dispute between the parties.Resolve the dispute and memorialize your new agreement in a memorandum signed by both parties.
5. Describe a situation where a director or officer of the corporation was accused of breaching one or more of her fiduciary responsibilities to the company.Draft a memorandum outlining the factual and legal basis of the dispute and describe how the dispute was resolved.
6. Invent an employment dispute with one of your employees. Assume one of your employees sues you for employment discrimination or another violation of employment law.Draft a memorandum outlining the factual basis of the dispute, the legal analysis of in-house counsel, and how the dispute is resolved.
7. Discuss an ethical decision (not a legal one) that an officer or the Board of Directors had to make. Discuss how she resolved the issue using the approaches to ethical reasoning set forth in chapter 2.
