Malaysia Company law question: Siti and Suresh are directors in Petals Sdn Bhd, a company running a business selling flowers. Recent account statements revealed a high profitability of the company and a high demand for fresh flowers in the market and the board has decided to expand its business abroad. Both Siti and Suresh relied on Jimmy, a marketing executive for this expansion project, but would from time to time requested to be updated. Despite their busy schedules and having little knowledge in marketing, both directors would endeavour to participate in the expansion project. Five months post the decision, the project turned out to be unsuccessful causing Petals Sdn. Bhd. a loss close to RM3 million Petals Sdn.
