Manuel Sachs has been employed by Basils Accommodations Inc. for the past 10 years as their agent. Basils Accommodations Inc. owns and operates the chain of Fawlty Tower resort motels along British Columbias Pacific coast. Manuels contractual duties include advertising the Fawlty Tower motels in travel magazines and promoting the motel chain customers at international tourist conventions across Canada. While he was on a business trip in Bella Coola, Manuel stayed at a small travel resort called the Cozy Inn. He was impressed by both the accommodations and the food, and was pleased to learn that the Cozy Inn was up for sale. Because Manuel and his wife had always hoped to one day own their own small business, he immediately placed an offer to purchase the business. The Cozy Inns owner accepted the offer, and within days, ownership was transferred and Manuels wife was running their new business.
