MARCH 23, 2021 CLASS EXERCISE

Advance Technology Consultants, Inc. ("ATC") contracted with RoadTrac, LLC to provide software and client software systems for the global positioning products developed by RoadTrac. The agreement called for consulting services and equipment in excess of $1 million over a two-year period. RoadTrac subsequently filed a lawsuit for breach of contract against ATC, alleging that ATC had breached a noncompetition provision of the agreement that required that ATC not contact any of RoadTrac's clients for competitive purposes during the term of the agreement and for two years after its termination.
