Mike Rayez went to work for Titan Realty as a Real Estate agent. His contract he would receive his share of earned commissions after they were collected from the clients by Titan. Rayez found a buyer and negotiated the sale for an Citygate Office Complex. The sales prices was $14.6 million. The seller agreed to pay a 5% commission which was $730,000. The buyer purchased the building for the agreed upon price however the buyer and seller agreed to reduce the commission to $300,000. Rayez, on behalf of Titan objected to the commission reduction. Titan sued the seller for breach of contract and obtained a default judgement. However, when registering the judgement in the seller's home state, Titan found out that the seller was insolvent and thus judgement-proof so Titan did not make any further efforts to collect. Rayez received his share of the $300,000 Titan had collected at the closing of the sale. Titan did not pay Rayez any share of the uncollected amount due. Rayez sued Titan for the unpaid commission.
