Nurul (age 60) a retired school teacher, Michelle (age 49) a manager working at

HSBC Bank Berhad and Camille ( age 51 ) a housewife, three of them are good

friends and interested in jointly setting up a florist shop at SS2 Mall, Petaling Jaya.

They agreed that Nurul will provide the majority of the capital but leave the

management of the business to Michelle and Camille, as she always travels to

Jakarta, Indonesia to visit her husband. Michelle intends to limit her liability to be

capped to her contribution and any profits remaining after are to be shared equally

between Nurul, Camille and herself. Likewise, Camille prefers the liability to be

distributed among themselves equally. Advise Michelle as to the forms of business

the business and the consequences of her choice.
