Nusantara Sdn Bhd, a property development company ("Company") needed a capital worth of RM10 million to finance its business activities. The Board of Directors of the Company decided to borrow money by way of issuing debentures. The Company then applied for a loan from Bank Kerjasama worth of RM10 million but failed to get the full amount. Bank Kerjasama was willing to lend a sum of RM6 million to the Company. The Company agreed with the loan amount, and debentures were then issued to the Bank. The loan was secured by a floating charge over all of the Company's undertaking and properties. The loan document provides, among others, a prohibition on the part of the Company from creating any other subsequent charges that rank pari passu with the loan, or in priority to it, without the prior approval of Bank Kerjasama. The charge was duly registered. Since the amount of loan obtained earlier was insufficient, the Company decided to ask another loan from Bank Kawan. A loan worth of RM3.5 million was given to the Company which was secured by a fixed charged created over the Company's land. The charge was registered only a year after the date of its creation. The Company also borrowed RM500,000 from Adli, a moneylender. The loan was secured by a floating charge created over all of the company's movable assets. The instrument creating the charge clearly stipulated that in the event of payment default, the floating charge shall be automatically crystallized. This charge was also duly registered. Nusantara Sdn Bhd recently suffered a major financial setback and is currently experiencing issues with its liquidity. As a result, the Company has defaulted on loan payments is now unable to pay the creditors. Advise the Company as to the priorities of payment to the respective creditors when the Company's assets are insufficient to pay the debts in full
