: On 22nd June 2014, Mr. Nguyen Van Hung, the director of Nam Anh Company Limited ("Nam Anh") signed a contract with Mr. Le Van Son, a director employed by Viet Thai Private Enterprise ("Viet Thai"). Nam Anh's head office is located in Vo Van Tan Street, District 3, Ho Chi Minh City while Viet Thai's place of business is Ben Luc District, Long An Province. According to the contract, Nam Anh agreed to sell Viet Thai 100 tons of rice, transportation included and paid at delivery and at a place directed by Viet Thai. When goods were delivered to Viet Thai's designated place, it was found out that the rice was not at the quality agreed by the both parties, thus Viet Thai refused to pay Nam Anh for contract payment. After several discussions between the two, Nam Anh said it would initiate a lawsuit against Viet Thai. Please advise:
1.Whether the contract was valid? Explain?
2.Whether the contract is a commercial/business contract?
