On October 1, 2020, ABC Corporation, a wholesaler of computers, offered to sell DEF Corporation, a retailer of computers (both parties were in the business of buying and selling computers) 2,000 computers at a price of $50,000, delivery to be on December 1, 2020. In its acceptance, DEF indicated that it needed delivery on November 15, 2020, a term common in the computer sale industry. ABC did not object to the November 15 delivery term. ABC did not deliver the computers on November 15 and DEF sued ABC for breach of contract. ABC stated that there was no valid contract because DEF added the delivery term in its acceptance.
