One of our major divisions (contributing about 18 to 20% of our average yearly gross income) sells hundreds of various items (under our "house" brand "Parts Barn") to the public in various third-party hardware and housewares stores (Walmart, Home Depot, etc.) and via a website we maintain. We outsource the manufacture of some items and other items are simply bought in bulk from various suppliers (some overseas such as in Asia) and relabeled with our brand. The distribution warehouse is located on the headquarters office campus.

Typically, such parts (commercial water filters e.g.) are used by independent car wash owners for repair and servicing of their own car washes. Although they - many of them coin operated locations -- are competitors in a general sense, we are in a more "upscale" or premium segment of the car wash market, and we make a good profit on selling parts to them and the public anyways. There are some items that have more general household uses (e.g. pipe fittings, environmentally friendly soaps in a variety of colors and scents, drying cloths, buckets, sponges, other cleaning items, assorted tools, etc.). Occasionally, warranty issues arise, although so far we have avoided any large claims.

Can you provide me a brief (a few paragraphs, not a treatise) summary on the difference between "express" warranties and "implied" warranties and how a seller avoids, if possible, each kind ... and I think something called the UCC Article 2 might be relevant ?

(you may need to -- hint -- do some brief online research of UCC express warranties or implied warranties or similar or ... hint !! ... look in your E-book for possible links as I think you mentioned you are taking a Business Law course).

If we say nothing about warranties, are we off the hook from some warranty claims if someone has a problem with a part? I was sick the day they discussed warranties in an MBA course years ago, so I need some general baseline knowledge. Our attorney can take it from there and run with it.
