Per PCAOB audit standards a Material Weakness:

Is more severe than a control deficiency but less severe than a significant deficiency.

Is required to be reported to management and the board of directors in writing.

Is required to be reported to the PCAOB or AICPA.

Is less severe than a significant deficiency and can be communication to the those charged with governance is optional.
