Performance: Val's Foods signs a contract to buy 1500 pounds of basil from Sun Farms, a small organic herb grower, as long as an independent organization inspects and certifies that the crop contains no residue of pesticides and herbicides. Val has contracts with a number of restaurants to supply pesto and intends to use Sun's basil in the pesto to fulfill these contracts. When Sun is preparing to harvest the basil, an unexpected hailstorm destroys half the crop. Sun tries to purchase additional basil from growers but it is late in the season and the price is twice the normal market price. Sun is too small to absorb this cost and immediately notifies Val that it will not fulfill its contract. - Suppose the basil does not pass the inspection. What concept might allow Val to refuse to perform the contract? - Discuss any theory or theories that might allow Sun to claim its obligations have been discharged by operation of law. - Suppose Sun contacts every basil grower in the country and buys the last remaining chemical free basil anywhere. Nevertheless, Sun is only able to deliver 1475lb. of basil to Val. Would this fulfill Sun's obligation to Val? WhyMhy not
