Physicians who treat low-income patients in Ohio nursing homes are paid partly by the Ohio Medicaid program, and partly by the nursing homes where the patients live. The state made a contract with Smithers, an accountant, to audit physicians who had been paid for services they had allegedly rendered. Windsor House, which operated six nursing homes, sued Smithers for losses suffered as a result of Smithers' failure to detect certain fraudulent billings that had been paid by Windsor House.
