Konkot Hotels and Resorts Bhd ("KHRB") is the holding company of Mullis Restaurant Sdn Bhd ("Restaurant"). When the restaurant suffered losses and had to be closed, its workers- were retrenched.The workers sought to claim the termination benefits from KHRB-However, KHRB argued that it was not a party to the contract of employment and refused to pay. Jameen, one of the directors of KHRB, contracted Ubahsuai Bhd to renovate the banquet halls of its hotels to cater for wedding receptions and corporate events. Jameen is responsible in meeting clients and in planning events for KHRB. Ubahsuai Bhd attempted to claim the cost for the renovations from Jameen and make him personally liable for the debts. In another situation, KHRB discovered that its officer, Tembelang, who was in charge with the-Employees Provident Fund (EPF) for workers has failed to remit the contribution to the EPF's fund. Advise KHRB, Jameen and Tembelang regarding their liabilities under the company law. (20 marks )QUESTION 4 Sinar Padu Son Bhd (SPSB) is a company whose directors are Jep and Rahim. The shareholders of SPSB are Jep, Rahim and Angah. Jep and Rahim hold 80% of the shares of SPSB, and the remaining shares are held by Angah. During SPSB Board of Directors' meeting, a number of resolutions were passed : Resolution (a) states that the company is to pay annual bonus of RM100,000 to the directors out of the profits available to the company in its previous financial year. The company records showed that no dividend has been declared for a consecutive period of 5 years despite making a lot of profits. Resolution (b) states that the company is to form a subsidiary company known as Grab Son Bhd to carry out a number of projects awarded to SPSB. The rationale behind the resolution- was the limited expertise in-SPSB to implement the said projects. Resolution (c) states that the company is to dispose the company's factory building-to Rahim's son for RM500,000. Angah argued that the price of the factory building that was intended to be disposed is below its market value. He applied to the company to access the company's documents and records on this-matter but his application was rejected. He also discovered that the shareholders of Grab Son Bhd are Jep and Rahim. Based on the above situations, advise Angah on the rights and relief available to him under the company law with regards to the resolutions passed by-SPSB.
