Short Answer Question 4: Saffron Properties, Inc. ("Saffron"), a well-known real estate developer, entered into a contract with Tamarind Architects, PLLC ("Tamarind"), under which Tamarind agreed to oversee the design of Saffron's new high rise luxury condominium project in lower Manhattan. As the project was to be an iconic building that would permanently change the Manhattan skyline, Saffron insisted that world-renowned design architect Tarragon Design, PLLC ("Tarragon") be involved in all aspects of the project. Tamarind entered a subcontract with Tarragon, under which Tarragon agreed to design the exterior and serve as consulting architect for the project. The executives at Saffron were so excited about Tarragon being involved that they scheduled a reception at the Saffron offices on the day the Tamarind-Tarragon agreement was signed. As the design process got underway, Tamarind and Tarragon held monthly status meetings with Saffron. The president of Saffron was very pleased and even had some input in specifying the materials to be included in the plans. Eventually, the design was ready for bidding by a short list of pre-qualified construction managers, all of which were required to submit constructability reviews as part of the bidding process. Saffron awarded the project to Vanilla Construction Management Corp. ("Vanilla"), based on Vanilla's impressive constructability review. Thereafter, Vanilla entered subcontracts for various aspects of the work. As the exterior steel work was the most complex aspect of the project, Vanilla hired a top-notch specialty steel subcontractor. Construction began on April 1, 2022. On May 1, 2022, the exterior steel subcontractor discovered that certain load calculations in the plans were inaccurate and that additional quantities of steel would be required to proceed. The load calculations had been in Tarragon's scope of work under its contract with Tamarind. The estimated cost of the extra work was $5 million. Saffron hadn't budgeted for this additional cost. Nevertheless, Saffron asked its lender for the funds to pay for the additional steel work, but the lender refused to loan any additional money. Moreover, the lender had become displeased with Saffron, so it assigned a full-time consultant to watch the rest of construction on the project, charging the consultant's salary against the loan. In a heated phone call, Saffron demanded that Tarragon pay the additional costs. "No way," replied Tarragon. "Look, you guys didn't get me on board to do load calculations.
