ABC MOTORS, (ABC) in an attempt to obtain more business, sent an unsigned letter on ABC MOTORS letterhead, to JOHN JONES, a local florist (JONES). In the letter, ABC set forth the serial numbers of EIGHT (8) 2022 Model A-140 trucks which they stated that they would sell to JONES at the discount price of $18,000.00 per truck. ABC stated in their letter to JONES, that this offer would remain open to JONES for a "limited time only". JONES did not immediately reply to the offer but shopped around and found out that 2022 Model A-140 trucks were in great demand and the lowest price JONES could find from other truck dealers was $22,000.00 per truck. JONES thought the Offer over and decided to accept the Offer. So, just 3-days after receiving ABC's Offer, JONES E-Mailed his acceptance of the Offer to ABC which, ABC received the same day. In his E-Mail acceptance of ABC's Offer, JONES stated that he accepted the Offer and told ABC to deliver the eight (8) trucks to him immediately. ABC had, in the meantime, sold all of their trucks to another Buyer who had offered $23,000.00 per truck and, they had none left for JONES. Therefore, after receiving JONES' E-Mail of the acceptance of their Offer, ABC E-Mailed JONES and stated that their Offer to JONES was open for a "Limited time only" and that they had sold all of their trucks so, the Offer no longer existed. ABC further stated, in its E-Mail, that the offer was open for a "Limited time only" and that JONES waited to long to reply and, therefore, there was no Contract between them. JONES now sues ABC MOTORS for breach of contract stating that ABC owed him either the trucks or the additional amount he would have to pay another Seller for the eight (8) trucks. First Question - JONES VS. ABC (ABC's Defenses) List separately and then discuss any and ALL Defenses that ABC Motors could use against JONES in order to avoid selling him the trucks or paying JONES any monies. Set forth the exact LAW(s) ABC could use to support each of ABC's Defenses. Second Question - JONES VS. ABC (JONES' Responses to Defenses) With respect to each Defense set forth by ABC, set forth any and ALL Legal Responses that JONES could make to each of ABC's Defenses and whether JONES would be entitled to the trucks or to any monies which he claims ABC owes him. Set forth the exact LAW(s) JONES could use to support each of his Responses to ABC's Defenses
