I. EXECUTIVE SUMMARY

To begin with, the reason why companies do mergers and acquisitions is because of the

competition and growth. In a world where competition is rampant, a company must

know how to cut their cost and understand the concept of innovation. Companies opt to

acquire their competitors to grow their business and eliminate the threat. In addition to

this, they look for synergies where companies expect that the overall performance

efficiency will increase and the cost to drop as each company works together with

capabilities of the other.

For this case study, the objective is to provide an in-depth analysis of the merger and

acquisition between Microsoft and Nokia in 2013. Microsoft attempts to provide a third

alternative to iPhone and Android. Accordingly, Microsoft sees a potential from Nokia

which is a victim of aggressive competition and lost its market position to its rivals

because of lack of innovation. Later in 2011, both companies entered into a partnership

which resulted in the release of Windows phone. However, in 2013, due to increased

competition and decline in the financial condition of Nokia, Microsoft acquired Nokia's

mobile divisions for US$7.2 Billion. Furthermore, the merger and acquisition between

the two companies was anticipated to be successful, given Microsoft's power in

software and Nokia in devices.

Subsequently, both Microsoft (the acquirer) and Nokia (the target company) are

introduced in this paper, giving a historical background, analysis of both the companies,their market positions and key financials as well as the Microsoft's merger and

acquisition's activity. However, problems were identified and revealed factors such as

differences in behaviors of the two companies, challenges in leadership, existing

environment upon merger and acquisition. It also revealed that Microsoft overvalued the

expected benefits it will get from acquiring Nokia. In addition, the merger failed to

convince the developers in producing software and applications for the Microsoft

smartphone products which run entirely on Windows OS. The market was also seen to

be saturated and the fact that Microsoft failed to capitalize the patents owned by Nokia.

In conclusion, post-acquisition analysis revealed that these factors caused problems

between the merger and acquisition of Microsoft and Nokia. Thereafter, Microsoft wrote

off $7.6 Billion in 2015 and admitted failure of Nokia acquisition. Furthermore, Microsoft

Mobile announced the sale of Nokia brand for a total of $350 million to HMD Global and

FIH mobile. It revealed that Microsoft has wasted at least $8 billion on its failed Nokia

acquisition
