Business Law Assignment: Your assignment is to invent a business with goods to be produced and sold, and then create the contract for the sale of those goodsNOT a lease or a contract for services.

1. Name your company and label it as "The SELLER"

2. Name the other party to your contract and label it as "The BUYER"

3. Decide on a product that will be the subject matter of your Contract.

4. Create basic clauses to cover the following areas: a. Description of Goods/Specifications b. Quantity c. Price/Payment provisions d. Delivery Date and any other pertinent deadlines e. Shipping arrangements f. Risk of Loss (Liability for damage or lost shipment) g. Warranties h. Refund/Cancellation policies i. Liquidated Damages or Penalties j. Integration Clause k. Choice of Law Clause (states which state's law will govern your contract). l. Severability Clause (states that should any part of the Contract be rendered void, that part would be "severed" and the remainder of the Contract would remain valid).

5. Add additional Terms/Clauses as have been covered in the posted material or the text, that fit the contract situation you have created--- such as Arbitration clauses, Force Majeure clause, Time is of the Essence Clause, etc.

6. Include Signature Block with Date The Clauses should be short, numbered paragraphs with Bolded Headings.

Remember your goal is to create clear and certain terms. I am much more concerned about completeness and clarity in your explanation, than I am with perfect Contract form and language. Concentrate on content. DO NOT just cut and paste from a boilerplate Contract from the Internet. (I will be able to tell). It is fine if you refer to a contract to see how it is arranged, especially the beginning language that introduces the parties and the subject matter of the Contract, but do not directly copy language.
