A corporation is an organization formed with governmental approval to act as an artificial person to carry on business (or other activities), can sue or be sued, and, unless it carries a not-for-profit designation, can issue shares of stock to raise capital. Since corporations are legal entities with distinction from the individuals who created/manage them, they fall within the definition of "person" for most constitutional and statutory purposes; they are independent entities with their own rights and responsibilities, though they can only act within their corporate authority. Corporations fall under some protection of such Amendments as the Fifth and Fourteenth, however, not to their entirety (Fifth Amendment prohibition against self-incrimination & the Fourteenth Amendment's provision concerning "citizen" distinction/individuals). Licensure statutes do not apply to corporations due to their lack of ability to meet the educational requirements/standards of personal character.
