The Uniform Commercial Code is a set of rules that govern the commercial transactions in the United States. It was developed by the American Law Institute and the National Conference of Commissioners on Uniform State Laws to establish these uniform set of rules that govern commercial transactions. The Uniform Commercial Code has changed the Common Law of Contracts by providing contract principles and answering questions that might not be answered by the Common Law of Contracts. Parties that enter a contract do not get to choose the Common Law or the Uniform Commercial Code. This is decided based on the sale of goods and whether a Uniform Commercial Code exists or not. If no code exists, then common law is applied unless there is some provision that is provided for a specific case based in Article 2 of the Uniform Commercial Code. The Uniform Commercial Code is adopted by almost every state except for one, Louisiana, which adopted a few sections of the code. I don't think that the Federal Government should make a standard set of laws for contracts. If the Federal Government made a standard set of laws, they would have to be upheld by every court in every state. The Uniform Commercial Code is more of a guidance on how to handle these commercial transactions and the courts can take on each transaction in a case-by-case manner with the guidance of the UCC.
