Question 21 (this question has two parts-answer both parts) Sally, Veronica, Penny and Anna are friends who are all dissatisfied with their current jobs and get together to talk about going into a business together. Anna has a Bachelor of Commerce and the other three have retail experience. They decide to open a shop selling kitchen and cooking items. They agree to engage Cherie Wagstaff, who recently came second in a TV cooking show, to do a cooking demonstration in store in the opening week. They decide to call their business We 4 Cooks and their correspondence with Cherie is on letterhead bearing the name We 4 Cooks Pty Ltd. Cherie agrees to do the in- store cooking demonstration for a fee of $2,000 plus travel expenses from Sydney, with a deposit of $200 payable immediately. The deposit is paid by direct bank deposit from arn account in the names of Sally, Veronica, Penny and Anna. Sally has a falling out with the other three and Sally pulls out of the arrangement. Without the involvement of Sally, Veronica, Penny and Anna decide they would rather focus on china and cutlery rather than kitchen and cooking items. As a consequence, they decide on a new name, Dining Flair Pty Ltd. Anna arranges registration of the company as a proprietary limited company with the 3 of them as directors and equal shareholders. Penny agrees to leave the organisation of renting shop premises to the other two as she has to go to Queensland urgently as her mother is ill Anna owns a shop in Canberra which she has been unsuccessfully trying to let for many months at a proposed rent of S300 per week. She discusses with Veronica that there is an opportunity for Dining Flair to take up the lease. Veronica makes no inquiries and accepts Anna's advice. They agree on a 2 year lease of the shop from Anna at weekly rent of S300 per week for 3 months increasing to S400 per week for the remainder of the lease term. Anna signs the lease as lessor and Anna and Veronica sign as directors. (a) Anna writes to Cherie to cancel the cooking demonstration. Cherie is very unhappy as she has already booked air fares to Canberra and blogged about it on her cooking blog. Advise Cherie whether she can take action against any or all of Sally, Veronica, Penny, Anna and Dining Flair Pty Ltd to recover the balance of her fee and travel expenses. The advice she has received from an independent valuer is that the fair rent for the lease for the entire 2 year period is $250 per week.
