Sizwe Growth (Pty) Ltd v Jeezy Restaurant Sizwe Growth (Pty) Lid is a registered small private company with Bongani Ngema as its sole director. In January 2020, Sizwe Growth entered into an agreement with Jeezy Restaurant, owned by Snazzy Cooke who is the sole proprietor. The agreement was that Sizwe Growth (Pty) Lid would supply Jeezy Restaurant with a range of organically grown vegetables and herbs on a weekly basis. After some negotiations, they agreed on the price and quantity of the weekly order, and that the agreement will be renegotiated after 12 months. The contract was reduced to writing and signed by Bongani and Snazzy in their capacities as representing Sizwe Growth (Pty) Ltd and Jeezy Restaurant respectively. In March 2020, the State President issued a proclamation which declared the spread of a Covid-19 pandemic as a national disaster and announced that the country would move to lockdown level 5 with immediate effect. Government immediately published regulations which determined that all restaurants had to cease trading with immediate effect. Snazzy Cooke, upon hearing of the regulations, closed the restaurant and told the staff to go home whilst she tries to find a way to keep the business open. She started phoning each of the suppliers and informed them that she will not be trading for the foreseeable future whilst the lockdown regulations are in place. When she phoned Bongani, he demanded that she continue to pay him for the agreed amount of produce and said that he will continue to deliver as his company had obtained a permit being a provider of essential services. Snazzy pleaded with Bongani on the phone but he was adamant that Jeezy Restaurant should honor its contractual obligations. Snazzy then informed Bongani that Jeezy Restaurant is cancelling the contract with immediate effect. Bongani institutes proceedings in your court and asks that the court enforce the binding contract between Sizwe Growth (Pty) Lid and Jeezy restaurant. In her answering papers, Snazzy asks the court for approval to cancel the contract. You be the judge! Give a verdict and reasons of your decision
