His appointment was invalid because the procedure in the constitution (that was in relation to appointments of directors was not complied with). James continued to act as a director. He voted on resolutions with other directors and he participated in the management of the company. ASIC suspected that the board of directors of Super Ltd where breaching their duties and decided to take action. James is not concerned especially after he discovers that his appointment as a director is invalid. He does not believe that he can be liable for any breach of directors' duties.
