Anni 18, Osman 19, and Mary 21 bought books and stationery from Banek Ltd on credit for their orphanage with a pledge to pay with the receipt of certificate of incorporation of their orphanage from the registrar of companies. It has come to the attention of management of Banek Ltd that certificate of incorporation has been issued yet the trio refused to pay with the excuse that their orphanage is an NGO and also, the books and stationeries are necessaries. Advise Management of Banek Ltd who are contemplating taking a legal action (10 marks)

Question 3. Rek supplied 2000 bags of rice to Bomah. Upon delivery at the buyer's shop at Osu, she realizes that 30 bags of the rice were from Togo not Vietnam as per their terms of contract. Bomah received all the 2000 bags and notified Rek to supply the shortage and collect back the bags of Togo made rice. Rek refused to supply the required 30 bags to replace the Togo made bags of rice. Boma has on account of that refused to pay Rekia. Advise both parties as to their rights. (10 marks)
