Even though David and Joe are university friends, David often shows his dissatisfaction that Joe always travels to Bangkok, Thailand and only stays in Malaysia for a duration of 2 days in a month and shows no involvement in the business. On the other hand, Joe complains that David always acted in his own interest instead of the interest of the company and often approved sales at a low pricing to his friends and family members. Ms. Mary, the newly employed company secretary, found out that the company have defaulted in lodging the statutory declaration for the past 2 years and the current financial report shows that the company is unable to pay its debt. Joe and David are now keen to resolve the company. Based on the facts above, consider the possible ways to wind up D&J Sdn. Bhd. (15 marks) Envin Sdn. Bhd. is a Penang-based energy company (the Company). The composition of the boards mainly consists of family members. The Company's chief financial officer, Jeff is also the Chairman of the Audit Committee. The Company Secretary, Ms. Diana, is the wife of Jeff. In 1999, the Company's board waived conflict of interest rules to allow Jeff to create private partnerships to do business with No Mistake, an audit firm which is owned by Jeff's son, Jason, with a few partners. No Mistake appear to have ignore the fact that there are some omissions on the debts and liabilities that would have had a significant impact on the Company's financial statement. Assuming you are the major shareholder and a director of the Company, suggest any FIVE (5) best practices based on the corporate governance principles that are capable of maintaining the sustainability of the Company.
