Question 2 Prior to the incorporation of Ecal Land Development Sdn. Bhd. (the Company), Fairuz, a promoter has entered into a Tenancy Agreement with Irwan for the rental of a three storey shopoffice. After the incorporation of the Company, Fairuz has been appointed as the managing director together with three other directors, Izmir, Imran and Fini who are the shareholders of the Company. During the first of the board of directors meeting, Izmir questioned the validity of the Tenancy Agreement. He was of the opinion that the rental of RM1,500 per month for the shopoffice was too costly for a new company. He proposed to reject the Tenancy Agreement and such proposal was seconded by Imran. With reference to decided cases, discuss whether Irwan can enforce the Tenancy Agreement against Ecal Land Development Sdn. Bhd. (20 marks)
