Question 4 Pong, Gina and Harry are directors and equal shareholders of Beyond Sound Pty Ltd ('BS'), which carries on a music recording business, specialising in the music of previously undiscovered performers. Given the small size of the business, there is some overlapping of roles. In general terms, however, Gina's role is that of 'talent scout', Fong's expertise lies in the actual sound recording and Harry is managing director and company secretary. Harry insisted on being appointed to these positions as it was his idea to set up the company, but he is actually not very interested in the administrative side of the business, having left school at 15 to pursue his musical interests. Despite their broad division of responsibilities, all three directors are heavily into the new music scene and, in the past, have all introduced new performers to the company. Recently, however, Gina has spent some considerable time with the lawyers for ES to develop a standard form contract for future use. It was resolved at the most recent board meeting of BS that the standard form contract would be used to Sign up all new performers, and that Gina would have the final say on all new contracts
