1.What is the difference between remedies at law and remedies inequity? Do not cut and paste from the text book, answer in your own words. In your opinion, if you entered into a contract for pop music star Ariana Grande to sing at your birthday party for $300,000, and you pay her $300,000 but after receiving the money she refuses to sing at your birthday party, would you prefer to seek remedies at law or in equity, specifically what would you ask the court to do, and why, based on the course reading and lecture materials?
2.Asha owns a zipper manufacturing company in New York and lives in New York. Clay has a small boutique fashion store in Florida, and he lives in Florida. Clay orders zippers from Asha for his store. Asha and clay get into a legal dispute over payment. Is Asha able to sue Clay in New York, or must she sue in a different state? Discuss all applicable legal concepts that are involved based on the assigned reading and lecture materials. Refer to Course Syllabus for further instructions regarding Discussion Board submissions.

1) 1. Contractual Formation
Review the facts set out in the case in terms of the process as to how the contract between the parties was formed. Discuss in detail the contractual formation process. In particular make sure to discuss the five essential elements required for a contract to be formed and point out the specific facts in the case that establish each of those elements.
2) 2. Contractual Interpretation
The Judge discussed the leading Supreme Court of Canada case of Sattva Capital Corp v. Creston Moly Corp. and its description of the modern approach to contractual interpretation. Provide a critical analysis of the modern approach to contractual interpretation. How was the approach used by the judge to decide the case? Do you agree with that approach: Why or Why not?
3) 3. Misrepresentation
As the judge found that the Defendants' breached a contractual term of the contract, he did not go into a discussion regarding the claim for fraudulent or negligent misrepresentation. Assuming the judge was incorrect regarding the breach of contract, please discuss the facts of the case and argue whether or not the Defendant's committed misrepresentation and if so, what kind?
4) 4. Damages
Provide a critical analysis as to how the judge decided damages. Could the judge have determined the amount of damages differently? If so, how?
Ryder, a police officer in Philadelphia, was alone in his patrol car when he received a radio call of a "man with a gun." Ryder was the first officer to arrive and was confronted by a suspect brandishing an AR-15 semiautomatic rifle pointed at him. Ryder was able to subdue him and place him into the back of his police cruiser. Backup units arrived approximately 12 minutes after the initial call. The weapon used by the suspect was later found to be fully loaded with the safety off. Subsequently, Ryder began to experience severe anxiety and stress from answering routine police calls, feeling that either he would be killed or have to kill somebody. A physician diagnosed Ryder as having post-traumatic stress disorder. Would Ryder be entitled to benefits under workers' compensation laws?
