(a)Zungu Theyo is a father of three children. One of them, namely, Mayai, has completed secondary education recently. A few days before the start of Mayai's examination, Zungu Theyo (the father) promised him an I-phone "Macho Matatu" mobile phone if he scores first class. The results came in and Mayai had secured first class. The father is happy for Mayai and he believe that his promise largely contributed to securing first class. He asked Mayai to thank him for that but Mayai mind is into the I-phone. The two are not talking as we speak. Mayai needs an advice from you as to what he can do to get his I-phone. What will your advice be?

(b)BDB Company Ltd is a private company registered under the Tanzanian laws. It was incorporated in January 2020. It held its first Annual General Meeting (AGM) in October 2021. A notice of 7 days was issued to the members. They all attended. Several resolutions were made including one on ensuring that another AGM is to be held in January 2023 and a notice of at 3 days will be enough to all members so that they do not forget. Some members are not happy with the way the management has been and is organising meetings. They thus approached you for your advice. What will you tell them?

(c)CR6 is a famous business man in Kibada. He has invested so much in large scale pineapple farming with multiple farms all over the Coast Region. He has two Mercedes Benz saloon cars (T000XXX & T111YYY) and a Land Cruiser (T222ZZZ) all insured with CRC insurance. Early May 2022, CR6 Jr was playing with fire, burning cashew seeds and running with firewood around the car parking lot. CR6 was busy with some calls. A few minutes later he started smelling a burning tyre. He asked what was it and he saw CR6Jr with fire around the Land Cruiser. He asked him to leave. A few minutes later, he heard a blast, CR6Jr crying. There was a burst on the tyre. And fire surrounding it. He took CR6Jr inside the house. He took about 10 minutes punishing him. As he was getting out of the house to go for the fire extinguisher, CR6 heard a major blast. It was a fuel tank and the fire was now all over the Land Cruiser. In few minutes, it was completely burnt. He shared this story with you. As an honest man he has reiterated same facts to CRC Insurance. He asks for your opinion if there will be any challenges on him getting the compensation. Advise him.

(d)Articles of Association of XYZ Company Ltd are filled in with a mandatory requirement that the company directors are to be shareholders. Ignorant of this fact, XYZ Company Ltd appointed Kidawa, who does not own any shares, to replace Mjuvi, as its director. Kidawa has no shares and strongly believe that this is not an issue because the main law (i.e. the Companies Act) is silent. What will you advise Kidawa and XYZ Company Ltd generally?

(e)Bi. Zuu and her 48 other associates had established Zuu Company Ltd for multiple objects. The company has flourished and the business has boomed. Multiple friends are now interested to become shareholders. Bi. Zuu is happy and as a majority shareholder, informally agreed to take 10 new members in. She was also approached by the Chinese company XI XINHU. The company was interested to do business in Tanzania and particularly with Zuu Company Ltd. She was troubled as she is not sure about the legal position. She has now approached you. What will your advice be?
