TEF Company, an insurance brokerage company, provides its corporate clients with an array of services, including but not limited to risk management. TEF agrees with to purchase the Davis Risk Management (DRM) Company. As part of the deal, DRM's CEO Jason Davis was given a personal services contract for five years to work for TEF. Two years after the completion of the purchase, TEF's CEO announced her retirement. In the running as her replacement was TEF's Chief Operating Officer Jocelyne Bonin and Davis. The TEF board of directors select Bonin. Davis does not like this decision, and through a series of e-mails, contacted Russell and Curtis Durrenberger, two high-level management employees who had come from DRM. The e-mails focus on starting a new risk management company made up of all former DRM employees as well as selected members of TEF's management team. Davis and the Durrenbergers resigned from TEF to start up DDD Risk Management Services. The new business immediately solicits business from New England Breeze, LLC, New England's premier alternative-energy business and TEF's very first customer. TEF sues DDD.
