3. Note that the complaint is being filed in a state court in Delaware. What fact makes the Delaware state court a proper forum for this dispute? (If it were not, the defendants would file a motion to dismiss citing a lack of jurisdiction instead of their responsive pleading called the answer.)

4. Starting at pp. 31, what legal claims have been made against the defendants at "Count I" and "Count II" (just the bold language in parentheses)?

5. Given the media take on the events, you may be surprised to learn that the agreement/contract underlying this dispute is a merger deal rather than an acquisition. Specifically, it is called a reverse triangular merger. What percentage would you choose to represent the probability of this deal closing in six months as Musk and Twitter anticipated? It's a dart throw, but perhaps one of you has some expertise to share.
