Sarala and Sorana are sisters and have been running the family bakery business Sugar and Spice Ltd for 12 years. They both sit on the Board of Directors of Sugar and Spice Ltd (SSL). They specialize in artisan breads, speciality cakes, cookies and other sweet treats and desserts. Each sister held 40 per cent of the shares in SSL. The remaining shares were held equally by their mother, Shazara, and her sister ( their aunt), Shanta.
In 2018, they expanded the business and opened a bakery and tea shop in the Isle of Mann incorporated as Sweet Trinkets Ltd (STL). The directors of STL were Soraya and Surina, and both were appointed by the shareholders of SSL. The Board of Directors of SSL transferred $500,000 to STL who deposited the money in its company account at the Isle of Mann National Bank. In 2019 Sarala and Sorana visited the Isle of Mann National Bank and instructed STL directors to borrow $750,000 on the balance sheet of STL, which monies were transferred to SSL.
STL has now gone into financial difficulties and closed its operations. Upon investigation it is discovered that STL owns no assets and all money from its proceeds of sale during operations were transferred to SSL immediately upon receipt. The Isle of Mann National Bank is seeking repayment of the loan borrowed by STL from SSL.
