Seri Megah Bhd (SMB) is a construction company whose directors are Razak, Joe and Raju. SMB was awarded by a State Government a project to construct commercial buildings at Desa Indah within three years' time. During the implementation phase of the project, SMB has encountered the following matters;

a) There was a price hike in construction materials of which led the SMB to suffer shortfall in its cash flow. The enterprise that supplies construction materials to SMB gained a lot of profits from the transaction and Razak is one of the partners in that enterprise.

b) A geologists employed by the SMB had told Joe to carry out professional land survey on the area where construction work is situated before embarking on it. The purpose of doing as such is to avoid risk of landslide. Joe however paid no heed to the advice and immediately ordered construction work to be carried out. Unfortunately. a landslide occurred thereafter and destroyed most of the construction works.

c) Raju, a professional chef was appointed as a junior director to assist Razak and Joe with the project. He is a Singaporean and most of his family members stay in Malaysia.
