Scenario... Abdul, Betty, Chandra and Don are all ordinary shareholders holding equal shares in ABCD Pte Ltd (Registration No 20213149K). Abdul and Betty are also directors. You are the Company Secretary. The company's registered office is at 123 Botak Hill, Singapore 678910. ABCD Pte Ltd was incorporated on 1 October 2021. The company adopted the model constitution as its Constitution. Since incorporation, the directors and shareholders have not had any meetings or passed any resolutions.

Hi,

Thanks for helping with the incorporation of our company. I confirm that we have all received our share certificates. However, I realise that even though the company has been incorporated since 1 Oct, we have only decided on our financial year end and appointed you as the company secretary. What's next?

Can you prepare for us a short memo on all the things that should be done in the first year following incorporation? Also I know there must be something called an AGM. Can you show us a draft of what to expect?
