Smith is a director and Jones the chairman of Electrics Ltd. They are discussing the sale of a large investment of Electrics at the office of Dealer, the company's broker. Jones is urgently called away and leaves Dealer's office saying: "Smith is able to finalise this sale". Smith purports to do so, signing on behalf of Electrics. The Electrics board later refuses to ratify the sale on behalf of the company. Owing to a misunderstanding by both Smith and Jones, they had not been intended to conclude the sale on behalf of Electrics Ltd. Could Electrics avoid the sale?
