On 30 June 2022, the Statement of Financial Position of Orion (Pty) Ltd reflected the following: The declaration of the dividend was passed by a resolution at a meeting held on 20 June 2022. Mr. Gilio, who is one of the Directors, believes that the decision to declare a dividend did not conform to the requirements of distributions as stipulated in the Companies Act 71 of 2008 . He is concemed about whether the company can afford to pay a dividend. Mr. Gilio, however, did not vote against the declaration of a dividend during the meeting in which the resolution was passed. 5.1 With reference to the requirements of the Companies Act 71 of 2008 discuss: the meaning of a distribution, the types of distributions, and the reasons why a company may not make a distribution.
