  3. A manager in the Richmond office of Barber & Morgan is the son of the treasurer of Braun Corporation.

  4. A partner in the San Francisco office of Barber & Morgan jointly owns a cattle ranch in Texas with one of the directors of Braun Corporation. The value of the investment is material to both parties.

  5. Braun Corporation has not yet paid Barber & Morgan for professional services rendered in Year 4. This fee is substantial in amount and is now 15 months past due.
