Question 1 Scott Ritchie operated a mobile disc jockey service in the Adelaide suburb of Salisbury under the business name, 21st Century Music. He sold his business to one of his employees, Amanda Cross, who did not change the business signs, advertising brochures, stationery or letterhead. Amanda decided to upgrade her equipment and ordered sound equipment to the value of $40 000 from Trio Sound. Trio Sound had been a regular supplier to 21st Century Music for a number of years and was not aware of the change of ownership. With Scott's departure, the volume of business declined and Amanda did not pay for the equipment. Trio Sound sought payment from Scott. Would it succeed? If so, on what basis? Question 2 After the death of Donald Muirhead, his executors hired the firm of solicitors, Penguin & Co, to collect and distribute his assets. The solicitors had to transfer some shares, sell a residential property and collect the proceeds of various term deposits. Things went badly wrong. The solicitors transferred one parcel of shares to the wrong beneficiary. As they were busy they delegated the task of distributing other shares to a stockbroking firm, which charged the executors for the service, and paid Penguin & Co a commission. The solicitors did not disclose this payment because it was only a small amount. Their junior clerk deposited some of the proceeds of the term deposits into the firm's general account, instead of the Muirhead trust account. Worst of all, the chief law clerk fraudulently transferred the residential property into his own name, sold it and disappeared. Advise the executors what legal rights they have against the solicitors under agency law. Question 3 Mr. Nancy Drew is not married and has no living family. He dedicated the past ten years to his computer software business in Suva. In his software ware business, he specializes in software control pattern making equipment. He realizes that his long term success now depends on attracting and keeping right employees.
