The State of New York requires attorneys to be licensed to practice law in the state. Harvey his own law firm, known as Law Offices of H. Specter, PLLC. Mike worked as an associate attorney for the firm and Rachel was their paralegal. Donna was Harvey's secretary. Mike had been working for Harvey for five years and knew that he eventually wanted to leave the firm and start his own business. Ally was an attorney, who was licensed to practice law in the State of New York. After seven years of dating, Ally, and her fiance Alex, were married. Two months after the marriage, Ally opened her own law firm. The following year, Ally and Alex started raising their family and eventually had two children. Several years later, Ally's minor children began attending Fellows Elementary School. Ally signed the school's enrollment contract online by automatic signature. The enrollment contract stated in relevant part, "We (I) agree to pay all attorney's fees and costs incurred by Fellows Elementary School in any action arising out of or relating to this enrollment contract." After twelve years of owning her own firm, Ally decided she had enough of listening to clients' complaints and placed an advertisement to sell her practice. She also informed the other attorneys in the office that she was planning on selling her business. Mike saw Ally's advertisement in the paper for the sale of her law office for $375,000 and knew that it was time for him to leave the Law Offices of H. Specter. Mike called Ally and offered to purchase her business. They drew up the paperwork and included a non-compete whereby Ally promised that she would not open another law firm within 20 miles of the prior location of her business for the next 3 years. Two years after Ally sold Mike the business, she became bored and missed practicing law, so she decided to open another law firm that was within 10 miles of her previous law firm. Mike sued Ally for breach of contract. During this time, one of Ally's minor children was injured at school, and Ally sued.
