Q1: Blackbox Inc. provides plastic cases for wholesalers for different packaging needs. One of Blackbox’s customers is NBI, Co. which uses the cases to package their expensive automotive parts. Both companies send their representatives to a regional trade show where NBI requested 15,000 cases and Blackbox accepted. When the next day Blackbox representative return to her office, she sends NBI and email with the terms. Five days later, Blackbox ships the cases. However, NBI objects as it argues there was no enforceable contract between them as the contract should have been in writing (over $500 of goods) and it did not sign. That is, it argues "nothing was in writing."

Is there an enforceable contract between the parties? Discuss the rule or exception under the Statute of Frauds for Merchants under the UCC. Explain if NBI is correct.

Q2: Contact Industries Inc. agrees to sell to Best Pick Company, 1250 CPU’s (central processing unit) for its production lines of PC’s. The cost is $288 per item. Contact, headquartered in Hazeldell, Washington, agrees to ship the items to Best Pick in Camas, Washington. However, Best Pick has a nearby warehouse in Vancouver, Washington. Best Pick selects various delivery dates and accepts by sending an email that reads, “1200 CPU’s at $288 each. However, must be delivered to our warehouse in Vancouver.” The email was not signed by any indication.

Contact Industries does not reply but never delivers as, it argued, it did not agree to send the goods to Camas, even though the added distance is not a financial burden. Contact further argued that it does not have a contract as Best changed the terms of its offer.

Best Pick, however, sues for breach of contract.
