There is an issue in Contract Law which has to do with "obligation to disclose" when an asset is purchased. The plaintiff in a breach of contract case sought to invalidate a contract in which he sold mineral rights in his land after he learned that the buyer found a valuable deposit. Suppose it was revealed at trial that the buyer had conducted aerial surveys of the site prior to purchase and had discovered evidence of the deposit, yet he had withheld the information from the seller. Should the court invalidate the contract on the grounds that the buyer had a duty to disclose the information? Is the information socially valuable or purely distributive?
