LAW OF CONTRACT ASSIGNMENT NUMBER ONE, 2024 Chimutengo Company limited is in the business of transportation and owns a fleet of trucks and different kinds of vehicles. Chimutengo company limited advertised for a tender in a widely circulated daily papers in Zambia for the supply and delivery of spare parts for its vehicles. One of the conditions in the tender was that a successful bidder should have a reliable source of spare parts and should have a guarantee that the spare parts shall be supplied promptly within 14 days when requested. Toyota Zambia responds to the tender and emerges as the best bidder to supply spare parts. In their bidding documents there was a term that stated, \"Toyota Japan Limited warrants to Toyota Zambia Limited that the motor vehicle spares, as delivered, will be free from defects in material and workmanship and shall be made available in seven days\" and in evaluating the tender documents Chimutengo Company Limited relied on the above term in awarding Toyota Zambia a contract to supply spare parts. Chimutengo Company Limited has a running contract to transport fertiliser, which is a seasonal product, for Kabalishe Farms Limited. The fertiliser should be supplied next four weeks, after four weeks it will be late to supply the fertiliser. Twenty of Chimutengo Company Limited trucks were involved in an accident, and they ordered spare parts from Toyota Zambia to repair the trucks in readiness to transport fertliser on time to Kabalishe Farms Limited. Toyota Zambia only supplied the spare parts after four weeks of order and it will take two weeks to repair the damaged trucks. When Chimutengo Company Limited realised that Toyota Zambia were not supplying the spare parts on time they sourced spare parts from another supplier to beat the time to repair the trucks and deliver fertliser. Chimutengo Company Limited refuses to receive the spare parts from Toyota Zambia saying that the spare parts were supplied late. Chimutengo Company Limited in the process failed to supply fertiliser on time and Kabalishe Farms Limited has terminated the contract for the supply of fertiliser with Chimutengo Limited.
