One becomes a member of a company (shareholder) by purchasing one or more of the shares. Share capital is thus the capital raised from members of the company. As expected shareholders expect return on their investment. Thus the profi ts made by the company are distributed to the shareholders in proportion to the number of shares held. The profi t distributed to the shareholders is referred to as a divided. This amount is determined and proposed to the share holders for approval by the directors. The shareholders; however, are only allowed to review the proposal downwards. The accounting for and distribution of profi ts shall be covered comprehensively later on.
