What power does a general meeting of the members have under the replaceable rules for a proprietary company other than voting on appointing/dismissing directors, voting
What power does a general meeting of the members have under the replaceable rules for a proprietary company other than voting on appointing/dismissing directors, voting on special resolutions to do with company structure/constitution/shares etc? For example can a general meeting direct the board of directors to make operational changes to the business or if the members aren't happy with the direction of the company is their recourse simply to appoint new directors if they have don't like the policies of the current directors? Basically I'm trying to understand the ambit of the meeting and what is proper and improper to discuss and vote on at one. Thanks.
