With that in mind, here is our hypothetical case, which will evolve throughout the course:

Hilda owned several businesses in New Jersey. Given that the population in the United States is getting older, she started a new business manufacturing a lotion to soothe aching muscles and joints. The lotion is called Calm Natural Safe (CNS). Hilda created the lotion using natural ingredients and other materials.

Milly's Global (MG), a company based in New Jersey, wants to buy 1000 bottles of CNS. Each bottle costs $20.00.

She has retained your law firm (Hamer, Huerta, Jordan, and Yousafzai) to MAKE a contract between Hilda and MG. A partner at the firm has asked you to MAKE a memo (review page 21 of our APUS Legal Studies Writing Guide for the memo format) addressing the following:

1. What additional questions would you want to ask Hilda so you can properly prepare the contract?
2. What are the requirements for the proper formation of a contract?
3. What if the parties want to modify the contract?
4. Include a clause that you feel should be included in the contract. Explain why you noted this clause.
5. What is the statute of limitations to sue if there is a breach of contract? Set forth the law to support your conclusion.
