Yeto Ltd is a dully incorporated limited company in Uganda, carrying on construction business in Kibimba town. Among its employees is Mukozi, a plumber. One day while Mukozi was returning from the field and hurrying back to the office, he was requested by a neighbor to unblock, her drainage. Mukozi who was still in the company overalls (company uniform), unblocked the drainage and the nearby septic manhole and covered them after. When Mukozi left for office, a one Mulefu who was drunk removed the manhole cover claiming that it was scrap and useless, leaving the manhole uncovered. As a result, Tooto one of the neighbour's children fell into the manhole and broke his leg. The next day, the neighbour's lawyer sent a notice of intention to sue to Yeto Ltd, holding it responsible for Mukozi's actions. When Yeto Ltd's manager questioned Mukozi, he responded that it was Mulefu who was responsible for Tooto's injury, as he had removed the manhole cover. In another development, Yeto Ltd had obtained construction equipment worth Shs 5 million from Bin Enterprises, on credit. It transpired that Bin enterprises had an outstanding payment of Shs 5 million, owed to Zaabu lenders. Due to financial hard ships faced by Bin enterprises, it agreed that Zaabu lenders should take over the right to be paid Shs 5 million by Yeto Ltd. Zaabu lenders immediately demanded the money from Yeto Ltd. However, Yeto Ltd declined to pay on grounds that Zaabu lenders were unknown to them. In yet another related scenario, Tipo, a 17-year old, is a son of one of Yeto Ltd's directors. He entered into an agreement with Bin Enterprises to supply construction materials. Bin Enterprises later declined to supply the materials on grounds that the contract was questionable. Required: Identify the issues involved and resolve them.

Question 3 Monde is a commission agent of Mpalana, who deals in the importation of jewelries from Turkey. They have been doing this business since 2005 and their working relationship has been very good. Recently, it transpired that whenever Mpalana supplied Monde with jewelries, Monde would sell them at a higher price than they had agreed upon and earn more profits. Mpalana is not happy because he pays Monde on a commission basis but he (Monde) is also making side profits from the business.

In a related development, Monde was dealing with Funtura but never informed Funtura that he was Mpalana's agent. With time, the business between them started to dwindle and Monde defaulted to supply jewelries worth Shs 40 million to Funtura. Funtura later found out that Monde was an agent of Mpalana and decided to sue Mpalana for the jewelries. Mpalana argues that he cannot supply the jewelry for which he never received any payment. In another scenario, Namada developed an idea to make a quick, money-making business in selling opium. She informed Malala about the idea and he agreed to join the business. They made an agreement to the effect that Namada should provide opium worth Shs 20million. Malala deposited the Shs 5 million but Namada did not deliver the opium. Malala is now threatening to sue Namada for breach of contract. Later on, Opio, Malala's lawyer persuaded him (Malala) to buy land from him (Opio) at Shs 25 million. He convinced him that it was a prime piece of land with a title. When Malala demanded to look at the title, Opio assured him that as a lawyer, he had ensured that everything was okay and there was no cause to worry. Malala thereafter agreed to buy the land and paid Shs 5million as a deposit for the land. Later on, Malala discovered that the land was not prime and it did not have a title. Malala immediately demanded for a refund of his money but Opio declined, arguing that Malala should pay the balance of Shs 20million. Required: Identify the issues involved and resolve them.

(20 marks) Lema has been working with Sape company for about 2 years now on a 3 year contract. Just like other colleagues in her department, her duties include packing company products. At the beginning of her second year, Lema discovered that she was given less tasks than she had been contracted. On inquiring about this, her supervisor informed her that he was also following instructions from management. Lema is a married woman who is committed to work to provide for her children. She was, therefore, shocked to find a termination letter one day, on her desk. The reasons given for her termination included '... inability to work since she was a married woman, and that the total work done by her was insufficient to warrant payment by the company'. Following Lema's termination, there was an article published by Waaka newspaper about packaging companies that torture and mistreat their employees. At the end of the article there was a phrase that "Sape workers to take note." Waaka newspaper has, as a result, been notified by Sape company about an intention to bring legal action alleging that the article was defamatory. In another development, Sape company has received complaints from its neighbor, Dole, about Sape company's use of her land as a garbage dumping site. Dole is now suffering with infestation of cockroaches and rats, which are a danger to her health. On many occasions, Sape company has been requested to remove its garbage but it has never done so.
