Benton Counter was the C.E.O. of Peak Performance Pontoons Inc. ("PPP Inc.") a BC company which sold Gladiator Goggles, but did not have the capacity to meet the increasing demand. Gaston Glass was the owner of the Gaston Glass Grinding Corp., a Saskatchewan company, which made lens for the glasses and goggles. Merdley Gurdsen, dba Merdley Manufacturing Co., had excess manufacturing capacity. They decided, to have their businesses enter into a partnership. A written partnership agreement was drafted whereby Glass Grinding Corp. would make lens for the Gladiator Goggles which Merdley's business would then manufacture goggles for PPP Inc.
